The wording used on the MicroStrategy website regarding the stock split has certainly raised eyebrows. It's important for everyone to know that despite the unusual language, shareholders should still receive the split shares. Typically, shareholders of record by the close on August 1st are eligible, but the distinctive phrasing has caused some confusion. Having been involved in numerous stock splits myself, I find this phrasing atypical, and I wanted to highlight it to ensure investors are informed. Even those purchasing shares last minute on August 7th might still be curious about their eligibility, though traditionally, the key date is the record date, not the payable date. Either way I am not buying or selling till after the split just in case and I am moving large numbers of shares so I share this out of an abundance of caution.

THIS COMES FROM THE MSTR WEBSITE AND HAS CAUSED A STIR ON THE INTERNET

IT IS THE REASON I AM SHARING

TYSONS CORNER, Va., July 11, 2024 — MicroStrategy® Incorporated (Nasdaq: MSTR) (“MicroStrategy”) today announced that its board of directors has declared a 10-for-1 stock split of MicroStrategy’s class A common stock and class B common stock to make MicroStrategy’s stock more accessible to investors and employees. The stock split will be effected by means of a stock dividend to the holders of record of MicroStrategy’s class A common stock and class B common stock as of the close of business on August 1, 2024, the record date for the dividend.

As a result of the dividend, each holder of a share of MicroStrategy’s class A common stock will receive nine (9) additional shares of class A common stock and each holder of a share of MicroStrategy’s class B common stock will receive nine (9) additional shares of class B common stock. In each case, the shares are expected to be distributed after the close of trading on August 7, 2024. Trading is expected to commence on a split-adjusted basis at market open on August 8, 2024. The stock dividend will not have any impact on the voting and other rights of stockholders.

To benefit from MicroStrategy's 10-for-1 stock split, you need to own the shares by the close of business on the record date, which is August 1, 2024. Here are the key dates and details related to the stock split:

Record Date: August 1, 2024. You must own the shares by this date to be eligible for the stock split.

Payable Date: August 7, 2024. This is when the additional shares will be distributed.

Ex-Distribution Date: August 8, 2024. This is when the stock will begin trading on a split-adjusted basis.

The troubling part to me is that this is a split via dividend, which is a taxable event. This happened to me years ago. I can’t remember which ticker it was but the split ended up being taxed as a regular dividend.

This confusion can lead to some selling pressure today…..

If you buy shares on the 7th… you will wake up to them being split on the 8th and it’s not a taxable event… Looks like they had chat GPT try to word it for them. LoL.

What happens to the shares boight after 1st of August? Will they be splitted as well?

SIGPP

This is why I asked so many questions on discord… their official document explained it this way and it confused the hell out of me!

Hi guys, Just to clarify I have just spoken to a very knowledgeable, intelligent guy at Hargreaves Lansdown (UK’s number 1 biggest investment platform) and he has confirmed that the record date is just a register date used by registrars and is not the date you qualify for the stock split which he confirmed is the close of business today (7th August). He was 100% confident in what he was saying. I hope this information helps everybody on patreon who were worried. Obviously this is what HL have said, I can’t comment on how other stockbrokers or investment firms work.

I would have to agree. If not, it means anybody who bought for a 7 day period would take a 90% hit. That would be outlandish.

JoeDog

I sold at 1803, so if I buy, anything under 180 is a bargain. I'll wait for the "sell-the-news" to settle down and buy back in at 115 or so.

How many MSTR post split shares would be the equivalent of 1 Bitcoin?

Joz

I've not received any free shares and I brought 31st July

So when they say the split benefits investors, what do they mean?
